Terms and Conditions

General Terms and Conditions

These are the GENERAL Terms for all of our Membership Offerings for Scribblefish Media. You will also review and receive via email the terms SPECIFIC TO THE MEMBERSHIP you choose.

  • MEMBERSHIP CATEGORIES & FEES: The following membership categories are available with their respective monthly fees.

WEBSITE MEMBERSHIPS

  1. Single Page: $39 per month + $495 design/build
  2. Single Page PLUS: $89 per month + $595 design/build
  3. Five Page: $39 per month + $1,195 design/build
  4. Five Page PLUS: $89 per month + $1,195 design/build

Monthly Website Memberships are implemented at one of two levels of hosting and service. In both levels your website includes personalized support for any SYSTEM RELATED issues and security updates. We do not provide support for anything beyond the website itself such as but not limited to - issues, questions or training that are computer hardware related, e-mail system setup or support related, operating system or browser related, or the like.

STANDARD - SECURE HOSTING w/ CMS – You will have access to your website's dashboard where you will be able to maintain your image and text content via a web-based CMS tool. You will also have access to detailed site traffic reporting.

PLUS - UPDATES + SECURE HOSTING w/ CMS – includes same access PLUS 1 hour of our agency's services per month so you can update and grow your site over time by adding additional sections, pages, features, etc. - you can also utilize your time for interactive marketing consulting to discuss your goals or training on how to use your CMS tool to update your site more effectively on your own.

OPTIONAL WEBSITE ADD-ONS AVAILABLE Inquire for any fees not listed.

~ Content updates, page/section additions, standard functional elements are all items covered under the PLUS membership. For requests during initial content build or approved beyond allotted monthly time, the following fees apply: Additional content sections on Single Page sites - $75/section; Additional pages on standard content types are $150 - some pages may be more if features/content on them are complex.

~ Upgrade from Single Page to Single Page Plus to enable site to grow beyond a single page can occur at anytime - fee is $100 to convert site to PLUS then fees above apply for section/page additions beyond approved to do beyond monthly allotted time.

~ Custom Functionality - on-demand development of additional features not already included in our platform - $120/hr - defined business requirements required by client in order to determine the scope of work and feasibility to incorporate functionality to meet those requirements.

  • TERM OF MEMBERSHIP: All memberships will begin on the date that registration was completed and will remain in full force for a term of 12 months.

  • PAYMENTS: Upon signing this agreement Scribblefish Media®, LLC will collect one (1) month’s fixed charges and a non-refundable setup fee. Member understands that membership payment is due on the same day each month respective to the day of the month your membership was activated. It is the Member’s responsibility to ensure that a working credit card is on file at all times - this can easily be managed via the Member’s account at Scribble.fish. Member agrees that the monthly fee, respective to your membership level, will be charged to the credit card on file each month. If Member wishes to dispute any charges that have been charged to the account, Member must dispute the charge, in writing, within 30 days of the charge date. Member agrees that any charge not disputed within the 30 days shall become undisputable. Member may be charged an administrative fee of $5 per incident for any card that is declined or expired. If the credit card is declined for any reason, Member must provide a working credit card immediately. Member understands that he/she will be billed a late fee of 5% of any portion of the bill that is not paid within (5) five calendar days of their due date each month. Any bill that is not paid within (30) thirty calendar days of the due date will result in a termination of membership. If Member is terminated, Scribblefish Media®, LLC will immediately halt all benefits until the past due amount including applicable administrative and late fees has been paid along with a re-instatement fee equal to the current set up fee.

  • RENEWAL: This agreement will automatically renew on the day following the term end listed above for the same period of time as the initial term chosen. Member agrees to provide written notice (30) thirty days prior to renewal date, to cancel auto renewal. Rates and benefits are subject to change with notice upon renewal.

  • TERMINATION OF MEMBERSHIP: Scribblefish Media®, LLC has the right to terminate this agreement at any time if member fails to comply with Terms and Conditions of this agreement. Scribblefish Media®, LLC reserves the right to terminate the membership for any reason at any time without liability regardless of whether Member was previously accepted.

  • NOTICE: Member understands that we do not run our business on verbal agreements and any changes and or requests must be done in writing. All written notices under this agreement must be given in writing and sent by certified mail, overnight service, return receipt, emailed with email confirmation or hand delivered with proof of delivery. All notices to Member will be sent to the address listed on Member's account on Scribble.fish, emailed to the contact email address on Member's account on Scribble.fish or hand delivered with proof of delivery. It is the Member's responsibility to update their contact details in their user account to reflect applicable changes.

  • RESPONSIBILITY OF MEMBERS: Member is responsible for providing content and/or making themselves and their business available to fulfill their membership benefits. Scribblefish Media®, LLC will contact Member with to set up an onboarding session and plan the first creative design project within 7 days of membership activation. If Member fails to provide necessary design project requests, input, information, physical materials, files or be present at scheduled appointment times, Scribblefish Media®, LLC shall not be held liable for benefits that have not been fulfilled and Member will remain responsible for all payments in specified term. Member is solely responsible for the replenishment and accuracy of their business cards on display in the Members Only Business Directory display area at our office. Scribblefish Media®, LLC will make an effort to inform the Member when cards are low, but is not responsible to do so.

  • AUTHORIZATION OF MEMBER CONTENT : The member represents that it not only has the right to authorize the publication of any content it has submitted to Scribblefish Media®, LLC, but that it is fully authorized and licensed to use (i) the names and/or the portraits of pictures of persona, living or dead, or of things: (ii) any trademarks, service marks, copyrighted, proprietary, or otherwise private material: and (iii) any testimonials contained in any content submitted by or on behalf of Member and incorporated by Scribblefish Media®, LLC, and that such content is neither libelous, an invasion of privacy, violating any third party's rights or otherwise unlawful. As part of the consideration and to induce Scribblefish Media®, LLC to use such content, Member agrees to indemnify and hold harmless Scribblefish Media®, LLC against all loss, liability, damage, and expense of whatsoever nature arising out of copying, printing, or publishing of such advertisement or elements.

  • USER CONTENT: All creative content elements - artwork, graphics, client’s logos and designs provided to Scribblefish Media®, LLC by Member for use in creative projects, on websites, web app, Facebook page or in printed publications and other materials remains the ownership of the Member. Any content created by Scribblefish Media®, LLC using third party products or services, or any artwork, photos, sound, video, software or other materials obtained from third parties, which is incorporated into creative deliverables, website, apps, Facebook or printed materials (“Third Party Materials”) by the Scribblefish Media®, LLC is the ownership of Scribblefish Media®, LLC. Components and parts that make up the final deliverable that are not provided by the client – remain the property of Scribblefish Media®, LLC to be reused for it's own and other client’s work as applicable.

  • ERRORS IN CONTENT: On occasion, a detail included in creative design deliverable may not be accurate due to an unintentional error or omission. In such event, or in the event a product is listed at an incorrect price or with incorrect information due to typographical error, technology error, error in the date or length of publication, error in pricing or product information received from our Members, advertisers or suppliers, or for any other reason, you agree Scribblefish Media®, LLC is not responsible for such errors or discrepancies and not responsible to compensate the Member for any perceived damages or loss due to such misinformation. In the end it is the client's responsibility to ensure accuracy of final creative deliverables.

  • RIGHTS OF THE AGENCY: Scribblefish Media®, LLC reserves the right to unpublish the Member’s listing if it includes information deemed not suitable to display on our site or if the profile has no data, poor quality data or out-dated data. Scribblefish Media®, LLC reserves the right to decline or reject any membership or content for any reason at any time without liability regardless of whether member was previously accepted.

  • LIMITATIONS OF LIABILITY: To the maximum extent permitted by law, under no circumstances shall Scribblefish Media®, LLC, its subsidiaries, affiliates, officers, agents, owners, founders, representatives, employees, and contractors, jointly or individually be liable for any direct, indirect, punitive, consequential loss of income or profit, loss of confidential or other information, loss of privacy, personal injury, business interruption, or any other financial loss arising out of use of any services offered by Scribblefish Media®, LLC, or for any incident, indirect, special or consequential damages, even if Scribblefish Media®, LLC has been advised of these damages.

  • COPYRIGHT: All information, content, services and software displayed on, transmitted through, or used in connection with Scribblefish Media®, LLC (with the exception of User Content as defined below), including, for example, informational text, news articles, blog posts, reviews, directories, guides, text, photographs, images, illustrations, audio clips, video, virtual tours, html, source and object code, trademarks, logos, and the like (collectively, the "Content"), as well as its selection and arrangement, is owned by Scribblefish Media®, LLC and/or its licensors and suppliers. You may use the Content online only, and solely for your personal, non-commercial use, and you may download or print a single copy of any portion of the Content solely for your personal, non-commercial use, provided you do not remove any trademark, copyright or other notice from such Content. If you operate a Web site and wish to link to the Site, you may do so provided you agree to cease such link upon request from the Site. No other use is permitted without prior written permission of the Site. The permitted use described in this section is contingent on your compliance at all times with these Terms.
